To acquire a property in an asset deal, we usually acquire a newly established shelf company in the legal form of a GmbH, which purchases the property. Debt financing is arranged at the level of the property-holding subsidiary. As a rule, no profit-and-loss transfer agreement with InCity Immobilien AG is concluded.


The companies through which theProject Developmentsare handled are pure special-purpose entities and therefore have a classic SPV (Special Purpose Vehicle) structure. Here InCity Immobilien AG generally takes a majority stake, primarily a 51% interest in the project company.
